    JOBS Act Equity Crowdfunding is the process of soliciting everyday people, in a regulated and compliant manner, from around the world, to invest money into your company in exchange for shares or equity in your company.

     

    Equity crowdfunding works very similar to SharkTank or Dragons Den. Under JOBS Act Equity and Debt Crowdfunding everyday people and your customers can invest in your business or startup. Under Regulation CF (Reg CF for short) your business can raise up to $1.07M dollars.   • Equity Crowdfunding (officially called "Regulation Crowdfunding," or Reg CF for short) can be used to finance a brand new startup or an existing business. You can raise any amount from $10,000 to over $1 million each year. Unlike Kickstarter or Indiegogo, Reg CF campaigns do not focus on donations from friends and family, but on investment from investors who are looking to invest in emerging technology and growing business.

     

    Equity Crowdfunding became law in the United States in 2016 with the passage of the JOBS Act, a bipartisan law that opened up new opportunities for businesses to raise capital. There are limits on who and how much can be invested in each deal. During the Masterclass we'll go into detail to those particulars. For your general awareness here is what you need to know about who can potentially invest in your deal and how much they can invest.

     

    Equity Crowdfunding for Investors -  Anyone can invest in an equity crowdfunding securities offering. Because of the risks involved with this type of investing, however, you are limited in how much you can invest during any 12-month period in these transactions. The limitation on how much you can invest depends on your net worth and annual income.
    • If either your annual income or your net worth is less than $100,000, then during any 12-month period, you can invest up to the greater of either $2,000 or 5% of the lesser of your annual income or net worth.
    • If both your annual income and your net worth are equal to or more than $100,000, then during any 12-month period, you can invest up to 10% of annual income or net worth, whichever is lesser, but not to exceed $100,000.
